Press Release
hsmith@howardsmithlaw.comThis lawsuit is for anyone who acquired securities in Fiserv, Inc. (NYSE: FI) from July 24, 2024 through July 22, 2025.
The lawsuit alleges that the Company and certain of its executives violated federal law. Specifically, the lawsuit alleges that, throughout the time period mentioned above, the Company misled investors regarding its financial condition. More specifically, the lawsuit alleges that the Company misled investors by failing to disclose that a material number of customers using the Company’s old payment system, Payeezy, were not converting to the new system, Clover, but instead using competitor’s products.
On April 24, 2025, Fiserv reported that the gross payment volume (“GPV”) of its merchant payment gateway, Clover, had only seen a growth of 8% for the first quarter of 2025, compared to 14% to 17% from the previous year. The Company attributed the slowing growth to lower 2025 transaction volumes from merchants using the older payment gateway, Payeezy, who had converted to Clover. On this news, the price of the Company’s stock dropped precipitously on unusually heavy trading volume. Then, on May 15, 2025, Fiserv disclosed that GPV growth deceleration would continue throughout 2025. On this news, the price of the Company’s stock again dropped precipitously on unusually heavy trading volume. Finally, on July 23, 2025, Fiserv lowered the top end of its full-year organic growth guidance range and confirmed that its quarterly organic revenue in the Merchant segment had decelerated to 9% year-over-year from 11% in the previous quarter. On this news, the price of the Company’s stock again dropped precipitously on unusually heavy trading volume.
