The lawsuit alleges that the Company and certain of its executives violated federal law. Specifically, the lawsuit alleges that, throughout the time period mentioned above, the Company misled investors regarding its financial condition. More specifically, the lawsuit alleges that, among other things, the Company misled investors by touting the benefits of partnerships the Company had despite knowing that the partnerships would not provide such benefits because the Company knew that its partner companies lacked the resources to fulfill their purported commitments.
October 31, 2025, Wolfpack Research published a report concerning Datavault AI alleging, among other things, that Datavault AI’s purported partnerships with, inter alia, Burke Products, Scilex Holding Company, and Nature’s Miracle Holding Inc. could not offer the economic upside that the Company claimed they would, in part because these companies lacked the resources to fulfill their purported commitments pursuant to the partnerships Datavault AI had announced. The Wolfpack Report further stated that the Datavault Platform was far less active than the Company’s public statements suggested, “[t]rading activity on the platform appears to be minimal, if not non-existent.” On this news, the price of the Company’s stock dropped precipitously on unusually heavy trading volume.
