The lawsuit alleges that the Company and certain of its executives violated federal law. Specifically, the lawsuit alleges that, throughout the time period mentioned above, the Company misled investors regarding its financial condition. More specifically, the lawsuit alleges that the Company misled investors by failing to timely inform investors that the Company’s strategy to attain new customers was not working.
On November 20, 2025, Bath & Body Works released its third quarter 2025 financial results, missing the Company’s prior guidance on EPS and sales growth, and cutting full year guidance for net sales to “down high single digits.” In an earnings call held the same day, the Company’s CEO, Daniel Heaf, stated “while the consumer environment is tougher, this is no excuse as we continue to underperform the sector.” CEO Heaf then offered a “diagnosis” of the Company’s underperformance, including that it had “pursued adjacencies to attract new consumers but that strategy has not delivered the growth we expected and it reduced focus in investing in our core categories.” Heaf further states brand collaborations “have been used to carry quarters” and “as these strategies and other tactics have not delivered growth, we have relied on deeper and more frequent promotions.” On this news, the price of the Company’s stock dropped precipitously on unusually heavy trading volume.
