The lawsuit alleges that the Company and certain of its executives violated federal law. Specifically, the lawsuit alleges that, in the registration statement for the Company’s merger with Cedar Fair, the Company misled investors regarding its financial condition. More specifically, the lawsuit alleges that the Company misled investors by telling investors that, in the years leading up to the merger, the Company had pursued transformational investment in the Company’s Legacy Six Flags when, in fact, the Company underinvested in its parks and now required huge amounts of capital to sustain, let alone grow.
On August 6, 2025, Six Flags released its second quarter 2025 financial results, revealing revenue of just $930 million and adjusted EBITDA of $243 million – well below consensus estimates. The Company also revealed its debt-to-earnings leverage ratio had increased to 6.2x, causing it to consider the “divestiture of non-core assets.” The Company slashed its 2025 EBITDA guidance by $215 million at the midpoint and announced that Richard Zimmerman, Six Flag’s CEO and former Ceder Fair CEO, was stepping down. On this news, the price of the Company’s stock dropped precipitously on unusually heavy trading volume and continued to trade below the merger price on the day the plaintiff filed this lawsuit.
